Terms of Service

By accessing or using FreeRP ("the Platform") at free-rp.live, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform. These Terms apply to all users of FreeRP, including individuals registering a new company workspace and team members invited to an existing workspace.

FreeRP is a free, web-based enterprise resource planning (ERP) platform that provides tools for inventory management, purchase order management, sales order management, manufacturing work order tracking, accounting, and AI-assisted business insights. The Platform is provided "as is" and "as available." We reserve the right to modify, suspend, or discontinue any part of the Platform at any time with reasonable notice.

To use FreeRP, you must create an account. You agree to: • Provide accurate, current, and complete information during registration • Maintain and promptly update your account information • Keep your password confidential and not share it with anyone • Notify us immediately of any unauthorized use of your account • Be responsible for all activity that occurs under your account You must be at least 16 years old to create an account. By registering, you represent that you meet this age requirement.

FreeRP is provided free of charge. Because the service is free, it is provided WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that: • The Platform will be uninterrupted or error-free • Defects will be corrected • The Platform or its servers are free of viruses or harmful components • The results of using the Platform will be accurate or reliable You use the Platform at your own risk. We strongly recommend maintaining your own backups of critical business data.

You own all data you enter into FreeRP ("Your Data"). We do not claim ownership of Your Data. You grant us a limited license to store, process, and display Your Data solely for the purpose of providing the Platform to you. You are responsible for: • The accuracy and legality of Your Data • Ensuring you have the right to upload and process any data you enter • Maintaining appropriate backups of Your Data • Complying with applicable data protection laws in your jurisdiction You can export your data at any time. If you delete your account, we will delete Your Data within 30 days as described in our Privacy Policy.

You agree not to use FreeRP to: • Violate any applicable law or regulation • Infringe on any intellectual property rights • Upload or transmit malicious code, viruses, or harmful software • Attempt to gain unauthorized access to any part of the Platform • Interfere with or disrupt the integrity or performance of the Platform • Use the Platform to store or transmit material that is unlawful, defamatory, or fraudulent • Reverse engineer, decompile, or attempt to extract the source code of the Platform • Use automated means to access the Platform without our permission • Resell or redistribute access to the Platform without our written consent We reserve the right to suspend or terminate accounts that violate these terms.

FreeRP integrates with third-party services including Shopify and QuickBooks Online. Your use of these integrations is subject to the respective third-party terms of service: • Shopify: https://www.shopify.com/legal/terms • QuickBooks: https://quickbooks.intuit.com/global/terms-of-service/ We are not responsible for the availability, accuracy, or actions of these third-party services. Connecting a third-party integration is your choice and you do so at your own risk. API keys and OAuth credentials you provide for integrations are stored securely but you are responsible for managing and rotating these credentials.

FreeRP includes an AI assistant powered by the Anthropic Claude API. To use this feature, you must provide your own Anthropic API key and pay Anthropic directly for usage. The AI assistant has access to your business data to answer questions and take limited actions within the Platform. You are responsible for: • Reviewing any AI-suggested actions before confirming them • Verifying that AI-generated information is accurate • The security of your Anthropic API key AI outputs are provided for informational purposes only and do not constitute professional financial, legal, or business advice. We are not liable for any decisions made based on AI assistant outputs.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FREERP, ITS OPERATORS, AFFILIATES, AGENTS, OR LICENSORS BE LIABLE FOR: • Any indirect, incidental, special, consequential, or punitive damages • Loss of profits, revenue, data, business, or goodwill • Business interruption or system failure • Any damages arising from your use of or inability to use the Platform • Any errors or inaccuracies in the Platform's data or calculations • Unauthorized access to or alteration of your data THIS LIMITATION APPLIES WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Because some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, some of the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless FreeRP and its operators from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to: • Your violation of these Terms • Your use of the Platform • Your Data or any content you submit • Your violation of any third-party rights • Your violation of any applicable law

You may terminate your account at any time by deleting it from the Platform settings. Upon termination, your right to use the Platform ceases immediately. We may suspend or terminate your access to the Platform at any time, with or without cause, with or without notice, including if we believe you have violated these Terms. Upon termination, we will delete Your Data within 30 days. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by email or prominent notice in the Platform at least 14 days before they take effect. Your continued use of the Platform after changes take effect constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Platform.

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Miami-Dade County, Florida.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and FreeRP regarding your use of the Platform. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
